Pointed - Terms of Service

1. Who we are

Pointed is a trading name of Frameboard Limited, a company registered in England and Wales, company number {{COMPANY_NUMBER}}, registered office {{REGISTERED_ADDRESS}}. In these terms "we", "us" and "Pointed" mean Frameboard Limited, and "you" means the business purchasing the service.

2. What you are buying

A website build as described on our What You Get page, which forms part of these terms. You confirmed you had read it when you ticked the box at checkout.

The build is:

  • Up to five pages
  • Mobile responsive
  • A contact form delivering to an email address you nominate
  • Google Business Profile link and embedded map
  • On-page SEO: page titles, meta descriptions, image alt text and LocalBusiness structured data
  • Guidance for connecting your domain
  • Your first month of the care plan
  • Two rounds of changes after first delivery

3. What you are not buying

We do not provide, and nothing in our marketing should be read as providing:

  • Email setup, migration, hosting or any change to your email
  • Nameserver changes of any kind
  • Copywriting beyond light editing of what you supply
  • Ecommerce, booking systems, customer logins or payment processing
  • Stock photography licences
  • Any guarantee, representation or expectation as to search engine ranking, traffic, enquiries or revenue
  • Changes beyond the two rounds included
  • Content work beyond the one change per month in the care plan

Statements by third parties. If anyone, including a Pointed partner or introducer, told you something about the service that is not in these terms or on the What You Get page, it does not form part of this contract and we are not bound by it. If you were told something that mattered to your decision, tell us before you pay and we will confirm in writing whether it is correct.

4. Price and payment

The price is £999 including VAT where applicable, or £499 where a valid partner discount applies. Payment is taken in full at the point of order via Stripe. We do not hold your card details.

The care plan is £29 per month. It is a required part of the service and cannot be declined. Billing begins on the date your site goes live, not the date you pay for the build.

5. Your brief and our timescale

We cannot begin until you complete the brief we send you after payment.

Our turnaround is ten working days from the date your completed brief is received, not from the date of payment.

If you do not complete the brief within 30 days of payment, we will build your site using publicly available information from your existing website and social media profiles, and deliver it as final. Changes after that point are chargeable at £75 per hour. We will send you at least four reminders before this happens.

You are responsible for the accuracy of everything in the brief and for having the right to use any logo, text, photograph or other material you supply. You indemnify us against any claim arising from material you provide.

6. Changes

Two rounds of changes are included after we first deliver the site to you for review. A round means one consolidated list. Further changes, or changes requested after the site is live, are charged at £75 per hour, quoted and agreed before work starts.

7. Your domain

We provide the DNS records required to point your domain at your site, together with a guide for your registrar. You may add them yourself, or you may grant us delegated access at your registrar to add them for you.

We do not and will not change your nameservers. This is deliberate: nameserver changes commonly break business email. As a result your email is unaffected by anything we do.

We are not responsible for your domain registration, its renewal, or any failure of your registrar.

8. The care plan

£29 per month, covering hosting, SSL certificate, weekly backups, uptime monitoring and one content change per month. Unused monthly changes do not accumulate.

Either party may cancel on one month's written notice. On cancellation we will provide you with an export of your site files. We will not continue to host a site that is not on a care plan.

If payment fails, we will attempt collection three times over 14 days. If it remains unpaid after 14 days we may take the site offline. Your files are retained and the site is restored when payment clears. We may delete files 90 days after cancellation or non-payment.

9. Intellectual property

All intellectual property in the delivered website remains the property of Frameboard Limited until payment has cleared in full, at which point ownership of the site content and design as delivered transfers to you.

The following remain the property of Frameboard Limited at all times and are licensed to you for use on your site only, for as long as you hold a care plan: the underlying template, framework, code libraries, structural CSS and any component reused across multiple clients.

You retain ownership of all material you supply.

10. Portfolio

We may display your website, its name and a screenshot in our portfolio and marketing. Tell us in writing if you would prefer we did not, and we will remove it.

11. Cancellation and refunds

You are contracting as a business, so statutory consumer cancellation rights do not apply.

  • Before we begin work, you may cancel for a full refund.
  • Once we have begun work, we will refund 50%.
  • Once we have delivered a site for review, no refund is due.

12. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.

Subject to that, our total liability arising out of this contract is limited to the amount you have paid us in the twelve months preceding the claim.

We are not liable for loss of profit, loss of business, loss of anticipated savings, loss of data, or any indirect or consequential loss.

We are not liable for any loss arising from the performance of your website in search engines.

13. Data protection

We process your data as a controller in order to provide this service. We will not sell it or pass it to third parties except processors necessary to deliver the service, currently Stripe, Supabase, Netlify and Resend. Full details are in our Privacy Policy.

14. General

These terms, together with the What You Get page, form the entire agreement between us and supersede anything said or written beforehand.

We may vary these terms on 30 days' written notice. Continued use of the care plan after that period constitutes acceptance.

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
